These Terms of Service ("Terms") govern your use of HealthSync AI platform and related services provided by SalesMind.ai ("Company," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

Acceptance of Terms

By accessing, downloading, installing, or using HealthSync AI platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Service.

These Terms apply to all users of the Service, including healthcare providers, practice administrators, and authorized personnel accessing the platform on behalf of healthcare organizations.

Description of Service

HealthSync is an AI-powered healthcare automation platform that provides:

  • Voice AI agents for patient communication and call handling
  • Browser automation agents for EHR and workflow automation
  • Medical coding AI agents for documentation and billing
  • MCP server integration for system orchestration
  • Analytics and reporting tools
  • HIPAA-compliant data processing and storage

The Service is designed specifically for healthcare organizations and includes features to ensure compliance with healthcare regulations including HIPAA, HITECH, and applicable state laws.

User Accounts and Registration

To access certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities under your account

Healthcare organizations are responsible for managing user access and ensuring that only authorized personnel have access to Protected Health Information (PHI) through the platform.

Healthcare Compliance and HIPAA

HealthSync is designed to comply with healthcare regulations, including:

  • Health Insurance Portability and Accountability Act (HIPAA)
  • Health Information Technology for Economic and Clinical Health Act (HITECH)
  • Applicable state healthcare privacy laws
  • FDA regulations where applicable

As a healthcare organization using our Service, you acknowledge that:

  • You are responsible for ensuring your use complies with all applicable healthcare regulations
  • You will execute a Business Associate Agreement (BAA) with us before processing PHI
  • You will implement appropriate safeguards for PHI access and handling
  • You will report any suspected security incidents immediately

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any healthcare regulations or patient privacy laws
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Transmit viruses, malware, or other harmful code
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to compete with or create competing products
  • Share access credentials with unauthorized individuals

Data Security and Privacy

We implement industry-standard security measures to protect your data, including:

  • End-to-end encryption for data in transit and at rest
  • Multi-factor authentication and access controls
  • Regular security audits and penetration testing
  • SOC 2 Type II compliance
  • HIPAA-compliant data handling procedures

However, no system is completely secure. You acknowledge that you use the Service at your own risk and agree to implement appropriate security measures on your end.

Intellectual Property Rights

The Service and its original content, features, and functionality are owned by SalesMind.ai and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of your data and content. By using the Service, you grant us a limited license to process your data solely to provide the Service and as described in our Privacy Policy.

Payment Terms

Paid features of the Service are subject to the following terms:

  • Fees are charged in advance on a subscription basis
  • All fees are non-refundable except as required by law
  • We may change our fees with 30 days' notice
  • Failure to pay may result in service suspension or termination
  • You are responsible for all taxes related to your use of the Service

Service Availability and Support

We strive to maintain high service availability but cannot guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with advance notice
  • Temporarily suspend service for emergency maintenance
  • Update or modify the Service to improve functionality
  • Provide technical support during business hours

For healthcare-critical applications, we recommend implementing appropriate backup procedures and contingency plans.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SALESMIND.AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Important Healthcare Notice: HealthSync is a tool to assist healthcare operations but does not replace professional medical judgment. Healthcare providers remain responsible for all clinical decisions and patient care.

Termination

Either party may terminate these Terms at any time:

  • You may stop using the Service and cancel your account
  • We may terminate or suspend your access for violations of these Terms
  • We may discontinue the Service with 30 days' notice

Upon termination:

  • Your right to use the Service ceases immediately
  • We will provide data export capabilities for 30 days
  • We will securely delete your data according to our retention policy
  • Provisions regarding liability, indemnification, and dispute resolution survive

Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

Healthcare organizations subject to specific state regulations acknowledge that additional compliance requirements may apply based on their jurisdiction.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Sending email notification to your registered address
  • Providing in-app notifications

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
